This Confidential Private Placement Memorandum (this “Memorandum”) has been prepared by the Haitian Dollar Inc for use by accredited investors and non-U.S. persons (each, an “Investor” and/or “Purchaser”) to whom the Company is offering in this Virtual Currency Offering (the “Offering”) the opportunity to purchase Haitian Dollars a decentralized Bitcoin 2.0 virtual currency that is developed and produced by the Company, which is to be called the Haitian Dollar (the “Haitian Dollars”), at a price per Haitian Dollar of $0.01 (for Reg D & Reg S only). The maximum offering is 250,000,000 Haitian Dollars (the “Maximum Offering”). The minimum subscription per buyer is 50,000 or $50.00 in Haitian Dollars, although the Company reserves the right to accept subscriptions for lesser amounts. There is no minimum number of Haitian Dollars that must be sold for the Offering to close and for subscription funds to be released to the Company.
